Labs Sophia USA, Inc. (“Labs Sophia,” “we,” “us,” or “our”) operates this website (the “Site”) and may operate other websites, mobile or desktop applications, and/or additional online services (together with the Site, the “Services”) for your personal information and education. The terms and conditions set forth in this Legal Notice (the “Terms”), together with our Privacy Policy comprise a legal agreement between you and Labs Sophia and govern your access to and use of the Services, including any Content (as defined in Section 6 below) appearing on or provided through the Services.

Please read these Terms carefully before accessing or using this Web site. By accessing or using this site, you acknowledge that you have read, understood and agreed to the Terms of Use Agreement. If you do not agree to the Terms, you may not access or use the site.

Please note that section 18 of these terms contains a binding arbitration clause and a class action waiver. To the fullest legally permissible extent, these terms affect the rights you have in any dispute with us and our affiliates and how any such dispute may be resolved.

The information presented on this Site is for general informational and educational purposes. Certain sections of this Site may be intended for audiences such as Labs Sophia’s employees, customers and/or shareholders, as well as members of the health care community and the general public.

Labs Sophia will use reasonable efforts to keep accurate and up-to-date information on the Site but makes no warranties or representations of any kind to its accuracy, currency or completeness.

2. Not Providing Medical Advice

We are not engaged in medical or similar professional services or advice via the Site or the Services, and the information provided hereon and therein is not a substitute for the professional judgment of a qualified health care professional. You should consult a physician or other health care professional for advice regarding any medical condition or treatment thereof. The Services and any information or Content provided in connection therewith are for informational and educational purposes only. Your reliance upon any Content or information provided through the Site or the Services is solely at your own risk.

3.  Void Where Prohibited

This Site and its contents are intended to comply with the laws and regulations in the U.S. Although the information on this Site is accessible to users outside of the U.S., the information pertaining Labs Sophia products is intended for use only by residents of the U.S. Other countries may have laws, regulatory requirements and medical practices that differ from those in the U.S. This site may link to other sites produced by Labs Sophia’s subsidiaries and operating departments, some of which are outside the U.S. Those sites may have information that is appropriate only to that originating country. Labs Sophia reserves the right to limit provision of its products or services to any person, geographic region or jurisdiction and/or to limit the quantities or any products or services we provide. Any offer for any product or service made on this Site is void where prohibited. 

4.  Restrictions on Access and Use

You may not access or use, or attempt to access or use, the Services or Content to take any action that could harm Labs Sophia or any third party or interfere with the operation of the Services or Content, nor may you use the Services or Content in a manner that violates any applicable laws, rules, or regulations.   • Circumvent, reverse engineer, decipher, decompile, disassemble, decrypt, or otherwise alter or interfere with (or attempt, encourage, or support anyone else’s attempt to engage in such activities) any of the software comprising or in any way making up a part of any Services;

You may download and print copies of the Content only for non-commercial, informational, personal use, unless you are a licensed health care provider (such as a physician, health care facility, or pharmacy), a health insurance provider, or a representative of a licensed health care provider or health insurance provider. Such entities and individuals may use Content in connection with their professional duties, such as treating individual patients, determining whether to prescribe a product or recommend a service, or arranging for payment or reimbursement. You assume all responsibility and risk of damage, injury, or other loss resulting from your use and/or reliance on the site, the services, and/or the content. you hereby waive, release, and forever discharge Labs Sophia and its officers, directors, shareholders, employees, and agents from any claims, liabilities, or other obligations resulting from or in connection with your use of and/or reliance on the site, the services, or the content.

If applicable law does not allow the exclusion or limitation of certain damages, liability in such jurisdictions shall be limited to the extent permitted by applicable law. If you are dissatisfied with the services or content, your sole remedy is to stop using the services or content.

15.  Supplemental Policies or Terms and Conditions

Our failure to enforce any provision of these Terms or respond to a breach by you or any other party shall not in any way waive our right to enforce subsequently any terms or conditions of these Terms or to act with respect to similar breaches.

18.  Governing Law; Dispute Resolution

These Terms and your access to and use of the Services and Content are governed by the laws of the State of Texas, without giving effect to its conflict of law’s provisions, and by the laws of the United States. By accessing and/or using the Services or Content, you waive any claims that may arise under the laws of any other jurisdiction.

With respect to any and all disputes arising out of or in connection with the Services or Content, these Terms, or the Privacy Policy, you agree to negotiate in good faith and undertake reasonable efforts to cooperate with Labs Sophia in order to achieve a mutually satisfactory resolution. If you and Labs Sophia do not resolve any dispute by informal negotiation, any other effort to resolve the dispute will be conducted exclusively by confidential binding arbitration in accordance with the commercial rules of arbitration of the American Arbitration Association in Houston, Texas.

The arbitration of disputes pursuant to these terms shall be in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated. You agree that to the extent permitted by applicable law: (1) any and all disputes, claims, and causes of action arising out of or connected with the services, these terms, and/or the privacy policy will be resolved individually through binding arbitration as set forth above, without resort to any form of class action; (2) any and all claims, judgments, and awards of costs will be limited to actual third party, out-of-pocket costs incurred (if any), but in no event will attorneys’ fees be awarded or recoverable; (3) under no circumstances will you be permitted to obtain any award for, and you hereby knowingly and expressly waive all rights to seek, punitive, incidental, consequential or special damages, lost profits, and/or any other damages, and/or any rights to have damages multiplied or otherwise increased; and (4) your remedies beyond those expressly set forth herein are limited to a claim for money damages (if any) and you irrevocably waive any right to seek injunctive or equitable relief. Some jurisdictions do not allow certain limitations to or exclusions of certain forms of liability, so the above may not apply to you.

The arbitrator’s award shall be binding and may be entered as a judgment in a court of competent jurisdiction. You agree that Labs Sophia may seek any interim or preliminary relief from a court of competent jurisdiction in Houston, Texas necessary to protect its rights or property pending the completion of arbitration.

Except to the extent such time limitation is prohibited by law, you must file any claim or initiate any dispute arising out of or in connection with the services or content, these terms, or the Privacy Policy within one year of the date upon which such claim or dispute could be filed or initiated, or it shall be permanently barred.
